Disclaimers and Limitations of Liability

Exclusion of Consequential Damages

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using our services during the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Valuation services involve professional judgment and estimates based on available information at a specific point in time. We do not guarantee any particular outcome or result. Our valuations should not be considered as investment advice, legal counsel, or tax guidance.

Dispute Resolution and Legal Matters

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction where Palladian maintains its principal place of business, without giving effect to any principles of conflicts of law.

Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or relating to these Terms and Conditions or your use of our services shall be filed exclusively in the courts located in our jurisdiction, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these terms, the parties agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue other available legal remedies.

Waiver of Class Actions

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

General Legal Provisions

Severability

Waiver

All provisions of these Terms and Conditions which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.
